The parent company of Bed Bath & Beyond, Neighborhood Intelligence, has canceled its planned acquisition of Fathom Holdings, choosing to re-assess its broader acquisition strategy following a string of recent abandoned deals.
Strategic Reassessment Triggers Deal Termination
In a joint statement issued Monday, Neighborhood Intelligence and Fathom Holdings disclosed that both companies’ boards agreed to terminate the merger discussions. The decision, according to the statement, was largely influenced by current market valuations, which were deemed inadequate to represent “the fair value of either company for its shareholders.” Both firms also stated that the present moment was not optimal for merging their businesses.
This move follows an earlier modification to the original deal terms just days prior, which, if completed, would have resulted in Fathom holding almost a 40% stake—acquired through both direct and indirect channels—in digital assets such as tZero Group, Medici fund holdings, and an investment in GrainChain. The revised terms valued these contributions at approximately $130 million.
Changing Course After Multiple Abandoned Deals
For Neighborhood Intelligence, this marks the second significant transaction withdrawal within a month. The company previously abandoned plans to acquire F9 Brands late last month. Formerly Bed Bath & Beyond Inc., the company has spent the past year embarking on a buying spree aimed at diversifying past retail into sectors like home ownership and services.
Earlier in the year, Neighborhood Intelligence wrapped up acquisitions of The Brand House Collective (formerly Kirkland’s Inc.) and The Container Store. It also secured or announced deals involving companies beyond its retail roots, including SFV Services and Installed Right, underlining a strategy of diversification outside its traditional business domain.
Shift Toward Organic Expansion and Main Business Lines
On Monday, Neighborhood Intelligence announced plans to “pause additional acquisitions,” with a new focus on bolstering organic growth within its current business operations. A business update confirmed that efforts would concentrate on enhancing the “core business, driving organic revenue growth, improving margins and reducing costs.”
In a prepared statement, CEO Marcus Lemonis underlined the importance of maintaining control over the company’s primary blockchain and digital assets, particularly tZero: “After listening to shareholders and reviewing the alternatives, we believe retaining ownership and control of our blockchain assets while allowing tZero to continue executing its plan is the appropriate path. We are encouraged by the potential of these assets and believe retaining them gives our shareholders the best opportunity to participate in their future value.”
Opportunities for Future Alliances
Although the merger is no longer proceeding, Neighborhood Intelligence and Fathom Holdings left open the prospect of other forms of partnership. Both companies indicated they are “exploring ways to work together where collaboration can create value,” including opportunities involving data sharing, technological integration, and leveraging mutual business relationships and assets.
Neighborhood Intelligence’s recent decisions highlight a major pivot away from pursuing rapid acquisitions, instead turning the company’s attention toward optimizing its existing strengths and focusing on sustainable business fundamentals.
